Effective Date: Last Updated on 07/09/2026

The platform located at eavie.co, including related mobile applications (the "Platform"), is owned and operated by eat&vibe inc. ("eavie," "Company," "us," "our," or "we"), a company incorporated in the Province of Ontario, Canada.

These Terms of Use ("Terms") govern your access to and use of the Platform, including participation in eavie's Early Access program.

By accessing or using the Platform, joining the Early Access program, creating an account, or clicking "I agree" or a similar button when presented, you agree to these Terms.

You must be 18 years of age or older to participate in eavie's Early Access program or use the Platform.

If you do not agree to these Terms, do not use the Platform.

1. Accounts

1.1 Creating an Account

Some features require registration.

You agree to provide accurate, current information and to keep it up to date.

During the Early Access phase, eavie may require you to provide information confirming your eligibility, including your age and Ontario location.

You may delete your account through the Platform where that functionality is available.

We may suspend or terminate your account as described in these Terms.

1.2 Account Security

You are responsible for keeping your login credentials confidential and for activity under your account.

Notify us at support@eavie.co if you suspect unauthorized access to your account.

1.3 Identity Verification

Account creation and certain Platform features may require identity verification using facial verification technology.

Identity and facial verification are described in Section 3 and our Privacy Policy.

You may not be able to complete signup or use certain meeting-related features without completing required verification.

2. Early Access and Platform Access

2.1 Early Access

eavie's Early Access program provides a limited group of eligible users with access to an early version of the Platform.

The Early Access program is currently limited to users based in Ontario, Canada, who are 18 years of age or older.

During Early Access, features may change, be unavailable, be tested, or be removed.

Participation in Early Access does not guarantee continued access to the Platform or any particular feature.

2.2 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.

2.3 Restrictions

You may not:

  • License, sell, rent, lease, transfer, or commercially exploit the Platform or its content;
  • Modify, reverse engineer, or create derivative works from any part of the Platform, except where permitted by law;
  • Use the Platform to build a competing product;
  • Scrape, copy, or redistribute Platform content without authorization;
  • Create a false identity;
  • Impersonate another person;
  • Misrepresent your affiliation with another person or organization;
  • Use the Platform to harass, stalk, threaten, intimidate, or endanger another person;
  • Attempt to gain unauthorized access to the Platform or another user's account;
  • Introduce malicious code or interfere with the operation or security of the Platform; or
  • Use the Platform in violation of applicable law.

2.4 Changes to the Platform

We may modify, suspend, restrict, or discontinue the Platform or any feature at any time.

We may conduct product experiments and tests during Early Access.

2.5 Support

We may provide support through email, the Platform, Slack, or other communication channels.

Unless expressly stated otherwise, we do not guarantee that support or maintenance will be available at all times.

2.6 Ownership

All intellectual property rights in the Platform, including its software, branding, logos, designs, text, interfaces, and other materials, belong to eavie or its licensors.

These Terms do not transfer ownership of eavie's intellectual property to you.

2.7 Feedback

If you voluntarily provide feedback, suggestions, ideas, or recommendations about eavie, you agree that eavie may use that feedback to operate, improve, develop, test, and evaluate the Platform without compensation or attribution, subject to applicable law.

Providing feedback is generally voluntary.

3. Privacy, Location, and Biometric Data

3.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, available at: eavie.co/privacy

The Privacy Policy explains what personal information we collect, why we collect it, how we use and disclose it, and how we protect it.

3.2 Location Information

The Platform uses location-based services, including the Google Places API, to power features such as discovering nearby activities and venues.

You may be asked to grant location permissions on your device.

You can disable location access through your device settings, but doing so may limit or disable location-dependent features.

3.3 Biometric Information and Facial Verification

During account signup or another verification process, the Platform may capture an image of your face and use facial verification technology, currently provided by Amazon Web Services Rekognition, to:

  • Help verify that you are a real and unique individual;
  • Help confirm, before an in-person meeting arranged through the Platform, that the person attending corresponds to their verified profile; and
  • Perform liveness detection to help prevent spoofing using photographs, videos, or similar methods.

This may involve collecting and storing a biometric identifier derived from your face ("Face ID data").

Biometric information is sensitive personal information.

eavie will obtain express, opt-in consent before collecting or processing Face ID data.

The biometric consent process is separate from general acceptance of these Terms.

You may withdraw biometric consent subject to applicable law and reasonable notice. If you withdraw biometric consent, you may not be able to maintain an account or access Platform features that require facial verification.

Additional information about biometric information, including purposes, storage, retention, and security, is provided in our Privacy Policy.

3.4 Cookies and Tracking

See our Cookie Policy: Cookie Policy

4. User Content and Interactions

4.1 Your Content

"User Content" includes messages, photos, Moments, reviews, feedback, and other content you post or share through the Platform.

You retain ownership of User Content that you own.

By posting User Content, you grant eavie a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, process, and use that content as reasonably necessary to operate, provide, maintain, improve, and promote the Platform.

4.2 Content Standards

You may not post or share content that:

  • Is unlawful;

4.3 In-Person Meetings and Safety

eavie facilitates introductions and helps users discover people, places, activities, and experiences.

eavie does not supervise users and does not guarantee the identity, intentions, conduct, or safety of another user.

Identity and liveness verification are designed to support trust and safety but do not guarantee that another person is trustworthy, safe, or suitable.

You are responsible for your own decisions and safety when interacting with other users online or in person.

We strongly recommend that you:

  • Meet in public places;
  • Tell a trusted person where you are going;
  • Keep sensitive personal information private until you are comfortable sharing it;
  • Use your own transportation where possible; and
  • Leave an interaction if you feel uncomfortable or unsafe.

5. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless eavie and its officers, employees, and agents from claims, liabilities, damages, and reasonable costs arising from:

  • Your use of the Platform;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your User Content; or
  • Your interactions with other users, including in-person meetings arranged through the Platform.

We do not control third-party services.

Your use of third-party services may also be subject to their own terms and privacy policies.

6.2 Other Users

Interactions with other users are primarily between you and those users.

eavie does not guarantee the conduct, intentions, identity, or safety of any user.

We may take action regarding user disputes or safety concerns at our discretion, but we are not required to intervene in every dispute.

6.3 Release

To the fullest extent permitted by law, you release eavie and its officers, employees, and agents from claims arising from your interactions with other users or third-party services, except to the extent such release is limited or prohibited by applicable law.

7. Disclaimers

10. Ontario Consumer Rights

The Platform is currently offered to users located in Ontario, Canada.

Nothing in these Terms is intended to waive, restrict, or limit a right or remedy that cannot legally be waived or limited.

Ontario consumer protection legislation provides protections relating to consumer agreements and unfair practices.

As eavie expands into additional Canadian provinces, these Terms may require additional province-specific provisions.

Please provide a description of the issue and the resolution you are seeking.

We will make reasonable efforts to resolve the matter informally.

Subject to applicable law and consumer rights, disputes may be brought before the courts of Ontario.
